Terms & Conditions
Last updated: Oct 24, 2026
1. About these Terms
These Terms & Conditions ("Terms") are an agreement between you and Openshard, Inc., a Delaware corporation whose mailing address is 2810 N Church St #90898, Wilmington, DE 19802, United States ("Openshard", "we", "us"). Openshard is run from London, United Kingdom. They apply when you use the Openshard website, the hosted dashboard at app.openshard.dev, our API, the Openshard GitHub App, the merge gate and any related services we provide (together, the "Services").
If you use the Services for an organisation, you confirm that you are allowed to accept these Terms on its behalf, and "you" means that organisation. The Services are built for businesses and professionals, not consumers.
Our Privacy Policy, Cookie Policy and Acceptable Use Policy form part of these Terms. If you have a separate signed agreement with us (for example, for Enterprise), that agreement takes priority where the two conflict.
2. Key terms
- "Receipt" means the record Openshard creates for a piece of work done by an AI coding agent, such as what changed, which checks ran and what it cost.
- "Customer Data" means Receipts and any other data you or your users send to the Services.
- "Open-source software" means the Openshard core and command-line tool that runs on your machine, published under the Apache License 2.0.
- "Users" means the people you allow to use your organisation's account.
3. Open-source software
The Openshard core that runs on your machine is open source. Your use of it is governed by the Apache License 2.0, not by these Terms. On the Free plan, Receipts are created and kept on your machine, and we do not receive them. The open-source software can send basic, anonymous product telemetry, which is described in our Privacy Policy and can be turned off at any time.
4. Your account
- You must be at least 18 years old to create an account.
- You must give accurate information and keep it up to date.
- You are responsible for keeping your sign-in details and API keys secure, and for all activity under your account.
- Organisation owners and admins control who can access the organisation's account and its Customer Data.
- Tell us straight away at michael@openshard.dev if you think your account has been accessed without permission.
5. Plans, trials and payment
Our plans and prices are shown on our pricing page. Prices are in US dollars and exclude taxes, which we add where required.
- Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled. Team plans are charged per person.
- Pro and Team include a 14-day free trial. You need a payment card to start it. If you do not cancel before the trial ends, your plan starts and your card is charged.
- Payments are handled by our payment provider, Stripe. We do not store your full card details.
- You can cancel at any time from Billing in your settings. Your plan stays active until the end of the period you have paid for.
- Except where the law requires otherwise, payments are non-refundable and we do not give refunds for partly used periods.
- If a payment fails, we may move your organisation to the Free plan or suspend paid features until it is paid.
- We may change our prices. We will tell you at least 30 days before a change affects you, and it applies from your next billing period.
6. Your data
You own your Customer Data. You give us permission to host, copy, process and display it only as needed to provide, secure and support the Services, and as described in our Privacy Policy. We do not sell Customer Data, and we do not use it to train AI models.
Receipts are designed to record facts about work, not your code. The Services reject synced data that contains source code diffs, prompts, transcripts, command output, environment variables, secrets or absolute file paths. You are responsible for the Customer Data you send to us, and for having the rights and permissions needed to send it.
Where we process personal data on your behalf, our Data Processing Addendum applies. You can request a copy at michael@openshard.dev.
7. Acceptable use
You must use the Services in line with our Acceptable Use Policy and all laws that apply to you. In particular, you must not tamper with, forge or misrepresent Receipts to mislead others about how work was done.
8. Third-party services
The Services work with third-party products such as GitHub, AI coding agents and AI model providers. Your use of those products is governed by their own terms. We are not responsible for third-party products, and a change by a third party may affect how the Services work with it.
9. Our intellectual property
Apart from the open-source software, the Services, including the dashboard, its design, our brand and our documentation, belong to us and our licensors. These Terms do not give you any rights in them except the right to use the Services as these Terms allow.
If you send us feedback or ideas, we may use them without any obligation to you.
10. Confidentiality
Each of us will keep the other's confidential information private, use it only for the purposes of these Terms and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law.
11. Availability and changes
We work hard to keep the Services available and secure, but we do not promise they will be uninterrupted or error-free. Service levels are only committed to in a separate signed agreement.
We improve the Services all the time. If we make a change that materially reduces a paid feature you rely on, we will give you reasonable notice.
12. Suspension and ending these Terms
- You can stop using the Services and delete your account at any time.
- We may suspend or end your access if you seriously or repeatedly break these Terms, do not pay, or if we must do so by law or to protect the Services or other users. Where reasonable, we will warn you first.
- When your account ends, your access stops. You can ask to export your Customer Data within 30 days, after which we delete it as described in our Privacy Policy.
- Sections that by their nature should continue, such as payment, confidentiality, disclaimers and limits of liability, continue after these Terms end.
13. Disclaimers
A Receipt is a record of what Openshard observed and checked. It is not a guarantee that code is correct, secure or fit for any purpose, and the merge gate is a tool to help you enforce your own rules. You remain responsible for reviewing and deciding what to merge and ship.
To the extent the law allows, the Services are provided "as is" and "as available", and we give no warranties other than those set out in these Terms.
14. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, neither of us is liable for any loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the amount you paid us for the Services in the 12 months before the event giving rise to the claim, or US$100 if you have not paid us anything.
15. Indemnity
You agree to cover our reasonable losses and costs arising from a third-party claim that your Customer Data, or your use of the Services in breach of these Terms or the law, infringes their rights.
16. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email or in the dashboard at least 30 days before it takes effect. If you keep using the Services after that, the updated Terms apply. If you do not agree, you can stop using the Services before the change takes effect.
17. Governing law
These Terms, and any dispute arising from them, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. The state and federal courts located in Delaware have exclusive jurisdiction.
18. General
- These Terms are the whole agreement between us about the Services, and replace any earlier discussions.
- You may not transfer these Terms without our written consent. We may transfer them to a company that takes over our business.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- If a court finds part of these Terms unenforceable, the rest still applies.
- If we do not enforce a right straight away, we can still enforce it later.
- We may send notices to the email address on your account. You can send notices to us by email.
